Shareholder Agreements

Shareholder agreements can serve many purposes, including defining management and information rights among shareholders, determining the composition of the Board of Directors and Officers of the corporation, voting rights, minority shareholder protections and buy-sell terms. Many times, buy-sell agreements that govern the purchase and sale of stock under certain circumstances, including death, disability and termination of employment, and done as separate documents from shareholder agreements. Buy-sell agreements define the triggering events for the purchase and sale of stock, the purchase price and payment terms for that transaction and may contain other terms, such as non-competition covenants and agreements to take action or refrain from taking action in the context of a stock buy-out.
